1. Agreement & definitions
By accessing or using CalmLane (“we”, “us”, “our”), you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Service. For clarity, “Content” means text, audio, video, images, prompts, messages, or other materials that you submit, upload, or generate through the Service.
We may update these Terms from time to time. If we make material changes, we will post the updated Terms on this page and update the effective date. Continued use after changes become effective constitutes acceptance of the updated Terms.
2. Eligibility & account responsibility
You must be legally able to enter into a binding contract in your jurisdiction to use the Service. You are responsible for the activity on your account, including maintaining the confidentiality of credentials and restricting access to your devices.
2.1 Accurate information
You agree to provide accurate, current information and to keep it updated. We may suspend or terminate access if information is false or misleading, or if required for compliance or security.
2.2 Security
Notify us promptly if you suspect unauthorized access. While we apply reasonable safeguards, no system is perfectly secure. You agree to use reasonable security practices on your end, including strong passwords and up-to-date software.
3. Acceptable use
You agree not to misuse the Service. Misuse includes attempting to disrupt, overload, probe, scan, or test the vulnerability of the Service, or bypassing any security or authentication measures.
3.1 Prohibited content & behavior
You may not use the Service to: (a) violate laws or regulations; (b) infringe intellectual property rights; (c) distribute malware; (d) harass, threaten, or promote violence; (e) exploit minors; (f) perform deceptive practices such as phishing or impersonation; (g) scrape or harvest data without permission.
3.2 Rate limits & automated access
Automated access may be restricted. We may enforce rate limits and technical controls to protect reliability. You agree not to circumvent these controls, including by rotating identities, tokens, or IP addresses.
4. Content, ownership & licensing
You retain rights to your Content, to the extent permitted by law. You grant CalmLane a limited, non-exclusive, worldwide license to host, store, process, reproduce, and display your Content solely to operate, improve, and provide the Service, including for troubleshooting, safety, and compliance.
4.1 Feedback
If you submit feedback or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate that feedback without compensation or attribution, unless prohibited by law.
4.2 Your representations
You represent that you have the necessary rights to submit Content and that your Content does not violate any law or rights of others. You are responsible for your Content and any consequences of sharing it through the Service.
5. Subscriptions, billing & taxes
If the Service includes paid features, you agree to pay all applicable fees and taxes. Pricing, billing cycles, and plan features will be presented at checkout or within the product experience.
5.1 Renewals
Subscriptions may renew automatically unless canceled prior to the renewal date. You can manage renewal settings through your account or applicable app store.
5.2 Changes in fees
We may change fees with notice where required. If you do not accept a price change, you may cancel before the new fee takes effect.
6. Refunds & cancellations
Refund eligibility depends on how you purchased the Service and the nature of the plan. Where required by law, we provide refunds and pro-rated adjustments. Unless otherwise stated at checkout, fees are non-refundable once the billing period begins.
6.1 Trials
If a trial is offered, it converts to a paid plan unless you cancel before the trial ends. You are responsible for timely cancellation.
6.2 How to request a refund
Contact [email protected] with your account email, purchase date, and reason. We may request additional information to verify eligibility and prevent fraud.
7. Intellectual property
The Service, including its design, software, and underlying technology, is owned by CalmLane or its licensors and is protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from the Service.
7.1 Brand assets
CalmLane name and logos may not be used without prior written permission, except for fair use or where legally allowed.
8. Privacy
Our data practices are described in our Privacy Policy. By using the Service, you acknowledge that we may process personal data as described there and as permitted by applicable law.
9. Disclaimers
The Service is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.
CalmLane is not a medical, legal, or financial service. Any information provided is for general informational purposes and should not be relied upon as professional advice.
10. Limitation of liability
To the maximum extent permitted by law, CalmLane and its affiliates, directors, employees, and licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, use, goodwill, or other intangible losses, arising from or related to your access to or use of the Service.
Where liability cannot be excluded, our total liability for all claims will not exceed the amount you paid to CalmLane for the Service in the twelve (12) months preceding the event giving rise to the claim, or US$100 if you have not paid anything.
11. Suspension & termination
We may suspend or terminate access to the Service if we reasonably believe you have violated these Terms, pose a risk to the Service or other users, or if required by law. You may stop using the Service at any time.
11.1 Effect of termination
Upon termination, your right to use the Service will cease. Sections that by their nature should survive termination will survive, including IP, disclaimers, limitation of liability, and dispute provisions.
12. Disputes & governing law
These Terms are governed by the laws applicable to where CalmLane is established, excluding conflict of law principles. You agree to attempt to resolve disputes informally first by contacting support. If a dispute cannot be resolved, the parties may pursue remedies available under applicable law.
12.1 Informal resolution
Before filing a claim, you agree to send a concise description of the issue and your requested resolution to [email protected].
13. Changes to the Service
We may modify, suspend, or discontinue all or part of the Service at any time. Where required by law, we will provide notice. We are not liable for any modification, suspension, or discontinuation, except as required by law.
